Service: The NodeTelecom website, applications, clients, APIs, and related services (collectively, the “Service”).

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Agreement Structure

1. These Terms form a legally binding agreement between you and us.
2. Additional policies may apply, including our Privacy Policy, Refund Policy, Acceptable Use Policy, promotional rules, or API-specific terms (“Supplemental Terms”). If there is a conflict, Supplemental Terms prevail for that subject matter.
3. You represent that you have the legal capacity to enter into this agreement. If you are under the legal age in your jurisdiction, your parent/guardian must consent and supervise your use.

2. Definitions

• “Service” means the connectivity acceleration, encrypted tunneling, relay/proxy routing, and related features we provide, including servers, nodes, protocols, IPs, software, and support.
• “Software” means our desktop/mobile clients, installers, updates, and patches.
• “Account” means any user identity, subscription, or device authorization used to access the Service.

3. Service Description and Scope

1. The Service is intended to improve connectivity performance and stability. Actual performance may vary based on location, ISP, device, destination network, and external conditions.
2. We may offer multiple plans (free, trial, subscription, pay-as-you-go, etc.). Plan benefits and limits are those shown at purchase, in-app, or in your order details.
3. We may limit availability of features, regions, nodes, or protocols for compliance, security, operational, or third-party reasons.

4. Accounts, Devices, and Security

1. You may be required to register an Account or authorize devices. You agree to provide accurate information and keep your credentials secure.
2. You are responsible for all activity under your Account unless caused by our fault. Notify us promptly of suspected compromise.
3. We may enforce limits such as concurrent connections, device count, bandwidth, traffic volume, or rate limits.

5. Fees, Auto-Renewal, and Refunds (If Applicable)

1. Pricing and Billing: Prices, billing cycles, and taxes (if any) are shown at checkout and may vary by platform and region.

2. Auto-Renewal: If you purchase a subscription, it may renew automatically unless canceled through your account settings or the applicable app store before the renewal date.

3. Refunds: Refund eligibility is governed by our Refund Policy and applicable law. Generally:

   • Digital services may be non-refundable once delivered/used, unless required by law;
   • We may offer prorated compensation for prolonged, verified service-wide outages attributable to us;
   • If your access is suspended/terminated due to violation of these Terms, refunds may be denied.

4. We may change prices with advance notice where required. Changes apply prospectively.

6. Acceptable Use (Prohibited Activities)

You agree not to use the Service to:

1. Send spam, phishing, scams, or distribute malware; host or transmit malicious code; conduct credential stuffing or similar abuse.
2. Perform hacking, unauthorized access, intrusion attempts, vulnerability scanning, port scanning at abusive scale, DDoS/DoS, or any activity that disrupts networks, systems, or services.
3. Engage in fraud, money laundering, trafficking, exploitation of minors, or other illegal activities; infringe intellectual property or privacy rights.
4. Circumvent limitations, metering, authentication, payment mechanisms, or security controls; resell, share, or provide access to the Service to third parties except where explicitly permitted by us.
5. Use the Service in jurisdictions where your use is unlawful or requires licenses/permissions you do not have.

Enforcement: We may investigate suspected misuse and take action including warnings, throttling, restricting features, suspending/terminating Accounts, and seeking damages where appropriate. You are responsible for losses, claims, penalties, or fees arising from your breach.

7. Software License and Restrictions

1. We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for accessing the Service in accordance with these Terms.
2. Except where prohibited by law, you may not reverse engineer, decompile, modify, create derivative works from, distribute, or bypass technical protections in the Software.

8. Privacy and Data

1. Our collection and use of information is described in our Privacy Policy.
2. Depending on how we operate the Service, we may process limited technical and diagnostic data (e.g., connection events, device identifiers, crash logs) for security, troubleshooting, and service improvement.
3. We may disclose information if required by valid legal process or to protect rights, safety, and security, subject to applicable law.

9. Service Availability and Disclaimers

1. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee uninterrupted, error-free, or fully secure operation.
2. Performance and availability may be affected by factors outside our control (ISPs, routing changes, congestion, upstream outages, device limitations, maintenance windows, force majeure).
3. We may modify, suspend, or discontinue parts of the Service at any time, including limiting certain traffic types or destinations, to protect the Service and users or to comply with law.

10. Limitation of Liability

To the maximum extent permitted by law:

1. We are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, business interruption, or reputational harm).
2. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service during the [X] months preceding the event giving rise to the claim (or, if you paid nothing, a nominal amount).
3. Some jurisdictions do not allow certain limitations; in that case, these limitations apply only to the extent permitted.

11. Indemnification

13. Suspension and Termination

2. We may suspend or terminate your access immediately if we believe you violated these Terms, posed a security risk, or if required by law.
3. Upon termination, your license ends and you must stop using the Software and Service. Refunds, if any, are governed by Section 5 and our Refund Policy.

14. Governing Law and Dispute Resolution
